Terms of Service (German „AGB")
As of: April 2026 — first version, to be reviewed by counsel before going live. The contract is governed by German law (B2B); the German version (/agb) is the legally binding text in case of conflict.
§ 1 Scope and contracting parties
These Terms of Service (the „Terms" or „AGB") apply to all contracts between RoadReview GmbH, Frechen, Deutschland („RoadReview") and driving schools as well as other commercial providers of driver education („Customer") for the supply of digital student licences to the RoadReview platform.
The Customer must be an entrepreneur within the meaning of § 14 German Civil Code (BGB). Contracts with consumers (§ 13 BGB) are not concluded under this offer; consequently, no consumer right of withdrawal applies.
Deviating, conflicting or supplementary terms of the Customer do not become part of the contract unless RoadReview expressly consents to them in writing.
§ 2 Subject matter of the contract
The subject matter of the contract is the paid grant of usage rights to the RoadReview platform, in the form of individual student licences. One licence entitles exactly one student designated by the Customer to use the platform.
The platform comprises the modules available at the time of contract conclusion (in particular geo-feedback, exam-readiness score, voice memos, owner dashboard). The exact scope of functionality follows the latest service description at roadreview.de/en/features.
§ 3 Conclusion of the contract
The presentation of licences on the RoadReview website does not constitute a binding offer; it is an invitation to submit an offer. The contract is concluded when the Customer places a written or electronic order and RoadReview confirms it.
§ 4 Service and scope of usage rights
Free provision for the driving school: RoadReview provides the Customer with the platform at no licence, subscription, setup or monthly base fee. For each student the Customer creates, a right to use the platform arises for as long as RoadReview operates the service.
One access per student: A student access entitles exactly one student to use the platform. Concurrent multi-use of a single access by different students is not permitted.
Not transferable to third parties: Accesses are bound to the Customer's driving school and may not be transferred, sold, rented or sub-licensed to other driving schools or third-party companies. Within the Customer's school, an access that has not yet been activated, or that has been freed up by a student dropping out, may be re-assigned to a different student account.
Term: Usage is bound to the respective student account for as long as RoadReview operates the service. If RoadReview discontinues the platform altogether, usage ceases, without the Customer being entitled to any refund or damages, unless RoadReview is responsible for the discontinuation.
§ 5 Conditions and payment terms
Conditions depend on the agreed product and the specific offer. The conditions agreed when concluding the contract apply. An enquiry or beta application alone does not grant product access. School management is being tested in closed beta.
§ 6 Returns, withdrawal, refunds
Because the contract is concluded exclusively with entrepreneurs (B2B), and the subject matter is a digitally provisioned, individually issued software licence, no statutory right of withdrawal applies. RoadReview does not offer a voluntary right of return.
Statutory warranty rights for defects, in accordance with § 7 of these Terms, remain unaffected.
§ 7 Service availability
RoadReview endeavours to make the platform available with high uptime, but does not warrant any specific availability under these Terms (best-effort operation). No service-level agreement (SLA) is included. Scheduled maintenance, mandatory updates and outages outside of RoadReview's control (in particular force majeure, disruptions at sub-providers or internet exchange operators) do not constitute a breach of contract.
Binding service levels — guaranteed uptime, response or recovery times — are only owed under an individually agreed custom contract.
§ 8 Customer obligations to cooperate
The Customer ensures that the students designated by it use the platform in accordance with the contract. In particular, the Customer must keep credentials confidential and revoke them without delay if misuse is suspected.
The Customer is responsible for integrating the platform into its driving-school processes in compliance with data protection law. Processing on behalf of the Customer is governed by a separate Data Processing Agreement (DPA) under Art. 28 GDPR.
§ 9 Limitation of liability
RoadReview is liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (ProdHaftG) and within the scope of any guarantee given by RoadReview.
For ordinary negligence, RoadReview is only liable for breach of a material contractual obligation („cardinal obligation"); in such cases liability is limited in amount to the contract-typical, foreseeable damage. Any further liability for ordinary negligence — in particular for loss of profit, indirect and consequential damages — is excluded.
To the extent RoadReview's liability is excluded or limited by the foregoing paragraphs, this also applies to the personal liability of RoadReview's employees, representatives and vicarious agents.
§ 10 Data protection
Processing of student personal data by RoadReview takes place on behalf of the Customer, on the basis of a Data Processing Agreement (DPA) under Art. 28 GDPR. The handling of personal data is set out in that DPA and in our Privacy Policy.
§ 11 Changes to these Terms
RoadReview reserves the right to amend these Terms with effect for the future, where this is required for legal, regulatory or technical reasons. The Customer will be informed of material changes in text form at least six weeks before they take effect. Existing, already-activated licences remain unaffected by later amendments to these Terms in their core scope (in particular licence model and price).
§ 12 Final provisions
Contract language: The contract language is German. The German version of these Terms (/agb) is the legally binding version; this English translation is provided for convenience only.
Applicable law: The laws of the Federal Republic of Germany apply exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Place of jurisdiction: The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract — to the extent the Customer is a merchant, a legal person under public law or a special fund under public law — is Cologne, Germany (RoadReview's registered office is in Frechen; the competent court for Frechen is the Local / District Court of Cologne). RoadReview is also entitled to sue the Customer at the Customer's general place of jurisdiction.
Severability: If individual provisions of these Terms are or become invalid or unenforceable, this shall not affect the validity of the remaining provisions.
